These Terms of Service ("Terms") govern your access to and use of the website, client portal, and services provided by Estobi Enterprises LLC ("Estobi Enterprises," "we," "our," or "us"). By accessing our website, signing up for our services, or using the Estobi Client Portal, you agree to be bound by these Terms.

If you do not agree to these Terms, please discontinue use of our website and services immediately.

1. Services

Estobi Enterprises provides AI-driven Amazon agency services, including but not limited to:

• Amazon listing optimization and content management
• Advertising campaign management and optimization
• Account health monitoring and performance reporting
• Competitor analysis and keyword research
• Inventory monitoring and reorder recommendations
• Access to the Estobi Client Portal for real-time business data

The specific services provided to you are governed by the service agreement or proposal accepted at the time of engagement. These Terms apply to all services unless otherwise specified in a separate written agreement.

2. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a legally registered business entity or authorized representative of one
• Have an active Amazon Seller Central account (for Amazon-related services)
• Provide accurate and complete information during onboarding and throughout the engagement

3. Client Portal Access

Eligible clients receive access to the Estobi Client Portal, a private dashboard providing real-time visibility into their Amazon business performance. Portal access is:

• Non-transferable: Your login credentials are for your use only and may not be shared with or transferred to any third party.
• Confidential: Portal content, data, and reports are confidential and intended solely for your internal business use.
• Revocable: We reserve the right to suspend or terminate portal access at any time for violation of these Terms or upon termination of the service relationship.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@estobienterprises.com if you suspect unauthorized access to your account.

4. Amazon API Access and Authorization

To deliver our services, we require authorized access to your Amazon Seller Central account via the Amazon Selling Partner API (SP-API) or Amazon Advertising API. By granting this access, you:

• Authorize Estobi Enterprises to access your account data on your behalf solely to perform the agreed-upon services
• Represent that you have the authority to grant such access
• Agree to maintain valid API authorization for the duration of the service engagement
• Understand that revocation of API access may limit or terminate our ability to deliver services

5. Payment Terms

Payment terms are specified in your service agreement or proposal. General terms include:

• Invoices are due upon receipt unless otherwise stated in writing
• Late payments may result in suspension of services
• All fees are non-refundable unless otherwise agreed in writing
• We reserve the right to adjust pricing with 30 days' written notice

For billing questions or disputes, contact us at support@estobienterprises.com within 14 days of receiving an invoice.

6. Intellectual Property

All content, tools, methodologies, templates, and proprietary systems developed by Estobi Enterprises — including the Client Portal, AI-driven optimization tools, and reporting frameworks — remain the exclusive intellectual property of Estobi Enterprises LLC.

Work product delivered to you (such as listing copy, reports, and ad copy) is licensed to you for your business use upon full payment. We retain the right to use anonymized performance data and aggregated insights to improve our services.

You may not reproduce, distribute, reverse engineer, or create derivative works from our proprietary tools or systems without express written permission.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the service engagement, including business data, strategies, pricing, and technical systems. This obligation survives termination of the service relationship for a period of 3 years.

8. Acceptable Use

When using our services and portal, you agree not to:

• Provide false, misleading, or fraudulent information
• Use our services for any unlawful purpose or in violation of Amazon's policies
• Attempt to gain unauthorized access to our systems or other clients' data
• Interfere with or disrupt the operation of the portal or our services
• Use automated tools to scrape, copy, or extract data from the portal without our written consent
• Engage in any activity that could harm Estobi Enterprises, its clients, or third parties

9. Disclaimers and Limitation of Liability

Our services are provided "as is" and "as available." While we strive to deliver high-quality results, we make no guarantees regarding specific outcomes, including revenue increases, ranking improvements, or advertising performance.

Amazon's marketplace is subject to policy changes, algorithm updates, and platform decisions outside our control. Estobi Enterprises is not liable for losses resulting from Amazon policy enforcement, account suspensions, or platform changes beyond our control.

To the fullest extent permitted by applicable law, Estobi Enterprises' total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

10. Termination

Either party may terminate the service engagement with 30 days' written notice, unless otherwise specified in your service agreement. We may terminate immediately for:

• Material breach of these Terms
• Non-payment of fees
• Conduct that is harmful, illegal, or violates Amazon's policies
• Failure to maintain valid Amazon API authorization

Upon termination, your portal access will be revoked and Amazon Information will be deleted from our systems within 30 days, in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in St. Lucie County, Florida, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and notify active clients by email or portal notice. Your continued use of our services after changes take effect constitutes your acceptance of the updated Terms.
